1. Agreement
These Terms of Service (“Terms”) govern your use of the AfriSkill AI website and related digital services. Separate statements of work (SOWs), proposals, or contracts apply to paid projects and prevail over these Terms if there is a conflict on project-specific matters.
2. Services
We provide AI software development, websites, business systems, mobile apps, automation, consulting, and related professional services. Website content is informational and does not constitute a binding offer until confirmed in a signed proposal or SOW.
3. Acceptable use
You agree not to:
- Use the site for unlawful, harmful, or fraudulent purposes.
- Attempt to gain unauthorized access to systems, accounts, or data.
- Upload malware, scrape aggressively, or overload our infrastructure.
- Harass staff or submit spam via contact, newsletter, or chat forms.
- Misrepresent your identity or affiliation when requesting services.
4. User responsibilities
You are responsible for the accuracy of information you submit, securing any credentials we issue, and providing timely feedback, content, and approvals needed to deliver projects. You must have rights to materials you supply (logos, copy, data, etc.).
5. Proposals & intellectual property
- Pre-contract proposals and estimates remain our confidential property.
- Unless otherwise agreed in writing, we retain ownership of pre-existing tools, frameworks, and know-how; you receive a license or assignment of deliverables as defined in the SOW.
- Third-party software, fonts, APIs, and AI models remain subject to their own licenses.
6. Payment terms
Fees, milestones, and payment methods are defined in each proposal or invoice. Unless stated otherwise: deposits may be non-refundable once work begins; late invoices may pause work; taxes are extra where applicable. Online payment gateways (for example Stripe or PayPal), when used, are subject to the processor’s terms.
7. Confidentiality
Each party must protect the other’s confidential information and use it only for the engagement. NDAs may be signed on request before sensitive discovery.
8. AI & third-party services
Deliverables may integrate third-party APIs, hosting, or AI models. Availability and pricing of those services can change. You are responsible for your own API keys and usage fees unless we host them under the SOW.
9. Warranties & disclaimers
The website is provided “as is.” Project warranties, if any, are limited to those expressly stated in the SOW. We do not warrant uninterrupted or error-free operation of third-party platforms.
10. Limitation of liability
To the maximum extent permitted by law, AfriSkill AI is not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill. Our aggregate liability for a claim relating to the website is limited to USD 100; for paid services, liability is limited to fees paid for the specific SOW giving rise to the claim in the 3 months preceding the claim.
11. Indemnity
You agree to indemnify us against claims arising from your misuse of the site, your content, or your breach of these Terms or applicable law.
12. Termination
We may suspend or terminate access to the website for Terms violations. Project termination follows the SOW (notice, fees for work performed, and return or destruction of confidential materials).
13. Privacy
Personal data is handled as described in our Privacy Policy.
14. Governing law
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law rules. Courts in Lagos, Nigeria shall have exclusive jurisdiction, unless a SOW specifies otherwise or mandatory consumer law provides a different forum.
15. Changes
We may update these Terms by posting a revised version with a new “Last updated” date. Continued use of the website after changes constitutes acceptance where permitted by law.
